Terms of Use

1. Acceptance of Terms

By accessing, registering for, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

2. The Kinsugi Service

Kinsugi provides KADE — the Kinsugi Agentic Development Engine — a platform that pairs a curated library of reusable software packages with an in-product AI partner, Gain, to help you plan and build software. It is not tied to any single AI model.

The Service is a tool that assists your work; it does not replace your professional judgment. You are responsible for reviewing, testing, and deciding whether to use anything the Service produces. We may add, change, or remove features of the Service at any time.

3. Accounts and Registration

Some features of the Service require an account. You agree to provide accurate and complete information when you register and to keep it up to date. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us promptly at support@kinsugi.ai if you suspect any unauthorized use.

4. Eligibility

You must be at least 18 years old, or have the consent of a parent or guardian, to use the Service. By using the Service, you represent and warrant that you meet all eligibility requirements and that the information you provide is accurate.

5. Subscriptions and Billing

The Service is offered under free and paid plans. Paid plans are billed in advance on a recurring basis according to the plan you select.

• Fees are charged to your chosen payment method at the start of each billing period and, unless stated otherwise, are non-refundable except where required by law.
• Paid plans renew automatically for the same period until you cancel. You may cancel a monthly plan at any time, and it stays active until the end of the period you have paid for. A plan bought under a signed order runs for the minimum term stated in that order.
• We may change plan features or pricing, and will give reasonable notice of any change that affects your current plan before it takes effect.
• Each paid plan includes an allowance of Gain Credits each billing period, and further credits can be bought separately. Credits are spent as you use the Service. Bought credit is non-refundable, and any bought credit you still hold stays available to spend after a plan ends.
• You can update your payment method, change plan, and read your invoices in the billing portal, reached from your account.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful, harmful, or fraudulent purpose.
• Interfere with or disrupt the Service, or the servers and networks that support it.
• Introduce malware or use the Service to generate or distribute malicious code.
• Attempt to gain unauthorized access to the Service, to other accounts, or to our systems.
• Reverse engineer, scrape, or copy the Service or its corpus, except as permitted by law.
• Use the Service to build a competing product, or resell the Service, without our written permission.
• Impersonate any person or entity, or misrepresent your affiliation with anyone.

We reserve the right to suspend or terminate your access if you violate these Terms.

7. Your Content and AI Output

You retain ownership of the code, prompts, and other materials you submit to the Service ("Your Content"). You grant us a limited license to process Your Content solely to operate and improve the Service. You are responsible for ensuring that you have the rights to submit Your Content and that it does not infringe the rights of others.

The Service, through Gain, produces code, suggestions, and other results ("Output"). Because Output is generated with the assistance of AI models, it may be inaccurate, incomplete, or unsuitable for your purpose. As between you and us, and subject to the rights of third parties, you own the Output you generate.

• Output is provided without any warranty of correctness, security, or fitness for a particular purpose.
• Similar or identical Output may be generated for other users; Output is not guaranteed to be unique to you.
• You are solely responsible for reviewing and testing Output before you rely on it, and for how you use it, including compliance with any applicable licenses and laws.

8. Intellectual Property

The Service — including the KADE platform, the corpus, all software, text, graphics, logos, and the "Kinsugi", "KADE", and "Gain" names — is owned by Kinsugi or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with these Terms. No rights in the Service itself are granted to you except as expressly stated here.

9. Third-Party Services

The Service relies on and may link to third-party services, including the AI model providers that power Gain and other integrations. We do not control and are not responsible for the content, policies, or practices of any third party, and your use of a third-party service is subject to that party's own terms.

10. Disclaimer

The Service and all Output are provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express or implied. We do not warrant that the Service will be error-free, uninterrupted, or secure, or that any Output will be accurate, complete, or fit for your purpose.

11. Limitation of Liability

To the fullest extent permitted by law, Kinsugi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the Service or any Output. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Kinsugi, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from Your Content, your use of the Service or Output, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if you breach these Terms. You may stop using the Service and close your account at any time. On termination, your right to use the Service ends, and the sections that by their nature should survive — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.

14. Changes to These Terms

We may update, modify, or replace any part of these Terms at our sole discretion. When we make material changes, we will update the effective date above and, where appropriate, provide additional notice. Changes take effect when posted, and your continued use of the Service means that you accept the revised Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. The courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
